Voting Trusts
Big Red Car here on a rainy Monday in the ATX. [Whoever has been praying for rain locally – you can stop now.]
So, a founder calls me and says, “I read where you recommend a voting trust for a startup. Do tell?”
A voting trust is a good idea right from the founding of a company. It is something which should be in your founding documents:
1. Articles of Incorporation;
2. Corporate Bylaws;
3. Option Plan;
4. Founding Shareholders Agreement;
5. Voting Trust; and,
6. Employment Agreements.
[You do have the Big Six, right? Haha, half of y’all couldn’t find these docs even if you made them. Sorry, that was mean.]
Emotion, Senses in Writing
So, the Big Red Car is a writer, published no less. As a writer, I attend writers’ groups in which you read others work, besmirch them with red ink, write indecipherable comments, drink extra large lattes, and your work gets read and savaged.
Haha, it doesn’t get savaged. Sometimes, it just sucks. Sorry.
But, sometimes, some little piece will be written with some standards or you do a little exercise.
UBER
Big Red Car here – I don’t qualify for Uber because I’m too damn cute. Sorry, Uber. Doesn’t mean I can’t love Uber from afar. [Been cheating on my Uber-affaire with Lyft. Don’t tell anybody.]

RH – Restoration Hardware, Swimming Upstream
I am always interested in turnaround stories and in companies who are swimming upstream. Such a company is Restoration Hardware.
Restoration Hardware has been public since November 2012 and had been owned by PE firms in the past. I love them for their enormous couches because I am an enormous Chevy Impala and like to lounge on a big couch.
The Educated Person
Big Red Car up early because I have a lot of contractors coming today. So, a chap asks me what constitutes an educated person when they leave college.
Don’t really know why college is relevant, but here is a definition of what I think on the subject.
Nike – Social Justice Warriors
So, I have long given up on the National Football League and, of course, it’s college football season, so who needs them?
Turns out Nike does and made the fallen angel Colin Kaepernick the centerpiece of their 30th anniversary “Just do it!” advertising campaign.
Doesn’t impact me – well, other than I am not buying any Nike stuff, but I’m a long time vintage Adidas guy anyway.
So, I got interested in what other social justice things Mighty Nike was involved in and, WOW, did I find out some troubling stuff.
